About the Role
The Paralegal will serve as the primary legal support resource for Wilson Learning, responsible for contract management, intellectual property administration, and corporate legal coordination. This role operates with a high degree of independence and is expected to reduce reliance on external counsel by confidently managing contract review, supporting business discussions, and handling day-to-day legal operations.
The position interfaces regularly with internal stakeholders, external legal counsel, and clients, ensuring efficient contract turnaround and strong governance across IP, corporate, and compliance activities.
Essential Duties and ResponsibilitiesContract Management & Legal Support
- Review, draft, and manage a wide range of contracts, including:
- Client agreements (MSAs, SOWs, NDAs, licensing agreements)
- Intercompany agreements (e.g., Data Processing Agreements, IP licensing)
- Amendments for renewals or minor changes in terms and conditions
- Serve as primary point of contact for contract-related inquiries, working directly with internal teams, clients, and external lawyers as needed
- Identify risks, propose revisions, and support business discussions to move contracts forward efficiently
- Maintain and manage a centralized contract database and tracking system
- Improve contract turnaround times and reduce dependency on outside counsel for routine matters
- Advise and interpret terms and conditions of legal agreements, or escalate to outside counsel as required
Intellectual Property (IP) Management
- Manage global trademarks and copyrights, including:
- Filing, renewals, and maintenance across U.S. and international jurisdictions (including Japan)
- Coordination with external counsel on disputes or registrations
- Ensure proper use of Wilson Learning IP across internal and external channels
- Document permissions for IP usage by clients and partners
- Monitor and address potential trademark conflicts; contest registrations for similar marks that could create confusion with Wilson Learning trademarks
- Advise employees and Profit Centers on proper use of trademarks and copyrights
Corporate Governance & Compliance
- Prepare and maintain corporate documents, including board minutes, resolutions, stock certificates, and corporate filings
- Support corporate governance activities across WLC and WLW (US-related matters)
- Coordinate with Finance and other stakeholders on compliance, tax-related documentation, and regulatory requirements
- Respond to requests from parent company and other departments for legal information and documents
Insurance & Risk Management
- Manage business insurance processes, including annual renewals and preparation of Certificates of Insurance
- Review of insurance clauses in contracts and office leases
- Track and communicate any claims or disputes to leadership as needed
Administrative & Legal Operations
- Track license usage, monitor renewals/amendments, invoicing, and commission agreements and payments for agency licenses
- Maintain legal logs, reporting, and documentation for leadership visibility
- Maintain and distribute detailed contract tracking (e.g., client MSAs) to relevant stakeholders on a regular cadence
- Support policy updates and ensure proper documentation across legal and sales processes
- Manage correspondence with regulatory bodies, external counsel, and legal offices
- Support development, maintenance, and communication of legal, contractual, and licensing policies across the organization
Qualifications
Required
- Associate or Bachelor's degree in Legal Studies, Paralegal Studies, or related field
- 5+ years of experience in a corporate legal or paralegal role
- Strong experience in contract review and negotiation support
- Demonstrated knowledge of intellectual property (trademarks, copyrights), including international registrations
- Experience with corporate governance documentation (minutes, resolutions, filings)
- Ability to interface confidently with attorneys, clients, and senior business leaders
- Strong understanding of U.S. legal and business environments
- Highly organized with strong attention to detail and ability to manage multiple priorities
- Demonstrated ability to work independently with minimal supervision
Preferred
- Experience with cross-border IP matters (U.S.–Japan or other international jurisdictions)
- Familiarity with contract lifecycle management tools (e.g., DocuSign, ContractWorks, or similar platforms)
- Prior experience in a learning & development, professional services, or B2B environment
- Track record of reducing outside counsel spend or improving contract efficiency
Technology & Tools
- Proficiency in Microsoft 365 (Word, Excel, Outlook, Teams)
- Familiarity with legal research tools (e.g., Westlaw, LexisNexis, or equivalent)
- Experience with contract management software preferred
Pay: $70,000.00 - $80,000.00 per year
