A boutique law firm is seeking a Corporate Paraleagl for their team.
The Corporate Paralegal will support practice area attorneys with all aspects of corporate filings, transactional matters, and document review. The ideal candidate is organized, resourceful, and confident managing multiple priorities with precision.
Key Responsibilities
- Draft and file organizational documents, including Articles of Incorporation, Articles of Dissolution, corporate resolutions, stock certificates, and merger documents;
- Organizing and coordinating the closing of complex transactions such as corporate mergers and acquisitions;
- Assists attorney in drafting various agreements;
- Incorporation and organization of corporations; drafting memos, correspondence, and ongoing corporate documents; communicating with attorneys and clients regarding factual and organizational issues;
- Conduct legal research and compile relevant findings for attorneys;
- Maintain and develop internal knowledge databases from produced documentation;
- Manage contract intake and coordinate documentation from outside vendors;
- Serve as a point of contact with outside counsel for litigation-related matters.
Qualifications
- Minimum 5+ years of experience as a Corporate Paralegal;
- Strong written and oral communication skills, and advanced computer skills;
- Strong attention to detail and organizational skills;
- Proactively identifies issues and anticipates the support needs on each assigned matter;
- Sound judgment and strong problem-solving ability;
- Ability to manage multiple deadlines in a fast-paced environment;
- Proficiency in Microsoft Office Suite;
- Experience with LexisNexis is a plus.

Compensation & Schedule
- Salary Range: $75,000 - $90,000.
- Schedule: Full-Time, In-Office.
- Location: Coral Gables, FL.
