Overview
The Corporate Paralegal/Legal Assistant will support both corporate and litigation matters, requiring strong organizational skills, attention to detail, and the ability to manage competing priorities. The ideal candidate is proactive, adaptable, and thrives in a deadline-driven environment while maintaining accuracy and professionalism.
Key Responsibilities
- Prepare and draft corporate and legal documents as directed
- Draft organizational and incorporation documents; file with state agencies
- Assist with business entity formation and compliance filings
- Draft and review contracts, leases, and related agreements
- Support commercial real estate transactions, including purchases, sales, and financing
- Prepare, organize, and maintain corporate minute books and records
- File for EINs and S-Corporation elections
- Request certified Articles of Incorporation and Certificates of Good Standing
- Conduct UCC, judgment, and lien searches
Litigation Support Duties:
- Assist attorneys with litigation matters, including case preparation and document management
- Perform e-filing in State and Federal Courts
- Conduct legal research, including PACER searches
- Manage case calendars, deadlines, and court schedules
- Prepare and organize discovery materials and exhibits
- Assist with trial preparation and document production
General Responsibilities:
- Prepare and finalize closing binders and post-closing documentation
- Request Tax Letters of Good Standing from the Rhode Island Division of Taxation
- Draft legal correspondence and communications
- Track billable hours and assist with time entry
- Proofread, scan, copy, and manage document production
- Maintain calendars, deadlines, and follow-ups
- Handle incoming and outgoing mail
- Support general administrative duties and special projects
Qualifications
- Prior experience as a Corporate Paralegal, Litigation Paralegal, or similar role preferred
- Experience with both corporate transactions and litigation procedures is highly desirable
- Knowledge of court filing procedures (State & Federal) and PACER
- Familiarity with corporate governance, entity formation, and compliance
- Experience with commercial real estate transactions is a plus
- Proficiency in Microsoft Word, Excel, and Outlook
- Strong written and verbal communication skills
