Job Summary
We are seeking a highly skilled and detail-oriented Paralegal with a strong background in business law to support our legal and commercial teams within the railcar industry. The ideal candidate will manage the full contract lifecycle, from drafting and negotiation to amendment tracking while ensuring compliance and consistency across agreements. This role requires excellent organizational and communication skills, the ability to analyze complex legal documents, and experience working in a fast-paced, team-oriented environment.
You will take on the following responsibilities:
- Manage all aspects of contracts and various agreements (purchase, lease, employment, etc.), including analyzing terms and conditions, update for contract amendments.
- Draft and edit board resolutions, memoranda, and other written materials, as directed.
- Negotiate and draft contract terms and conditions.
- Work closely with Commercial team on renewals or amended agreements and act as a liaison with Instar attorneys. Follow up and follow through on deal matters.
- Develop and maintain templates for commonly used agreements and contract documents.
- Contribute to the development of terms and conditions to improve the contracting process.
- Perform related tasks as assigned.
You should possess the following qualifications:
- Excellent organizational and communication (written and verbal) skills required.
- 5+ years of experience in preparing legal documents.
- Experience in railcar freight industry preferred.
- Notary Public certification preferred.
- Paralegal Certificate required.
- Must be able to perform under pressure in a fast-paced environment; able to multi-task and meet deadlines.
- Ability to apply critical and strategic thinking.
- Must be extremely detail-oriented, self-motivated, highly-organized, resourceful, and reliable.
- Experience culling and analyzing large amounts of data from numerous sources.
- Must be a team player and work well with others.
- Proficiency in Adobe & Microsoft Word and Excel required.
- Ability to update and edit existing databases.
